Structured finance, securitisation and other receivables finance transactions
We have been leading actors since the beginning in the Italian CMBS market, advising on either true sale and synthetic transaction (including the Italian element of the first pan-European CMBS and the first Italian multi-borrower CMBS). We are continuously involved in the securitisation of non-performing receivables, trade receivables and WBSs. We have acted and act from time to time for the arranger, the investors, the originator, the servicer or the rating agencies.
Bilateral and syndicated financings and related security packages.
Real estate finance
We acted for the banks in a number of transactions involving a wide variety of borrowers (either corporates or investment funds) in the acquisition of hotels, shopping centres, logistic centres, office and industrial buildings, as well as in the re-financing, restructuring and securitisation of real estate financings. We have also acted in connection with the contribution of properties to real estate funds.
Financing of LBOs, MBOs, private equity and OPA financing.
Financing of the acquisition and leasing of aircrafts.
We have acted for either the banks or the sponsors in a number of project finance transactions relating to co-generation plants, waste-to-energy plants, wind farms or photovoltaic plants, power sub-stations or water projects.
Trade finance and supply chain finance: we advise corporates and banks in the main supply chain finance solutions, either from the supply and the customers’ side.
Regulation of banking and financing activities and investment services
We have been involved in the formation and acquisition of banks, financial intermediaries and investment companies and have been advising on the performance of their respective activities and services. We have advised on the recognition in Italy of foreign securities markets.
Funds and collective investment management
We advice on the formation of investment funds and in the offering in Italy of harmonised funds.
We advise creditors and debtor companies in restructuring transaction pursuant to articles 67 or 182-bis of the Bankruptcy Act and in composition with creditor’s procedures.
